These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Chrd (“Chrd,” “Company,” “we,” “our,” or “us”) governing your access to and use of the Chrd mobile application, website, communication tools, booking functionality, event discovery services, content, software, media tools, and related products and services (collectively, the “Platform”).
By accessing, downloading, registering for, browsing, or otherwise using the Platform, you acknowledge and agree that you have read, understood, and agreed to be bound by these Terms and all supplemental policies incorporated herein by reference, including the Chrd Privacy Policy, Community Standards, and any applicable payment or promotional terms.
If you do not agree to these Terms, you may not access or use the Platform.
1. Definitions
For purposes of these Terms:
“Venue” means any individual, company, promoter, establishment, restaurant, bar, club, property owner, operator, or entity utilizing the Platform to discover, communicate with, inquire about, engage, or book entertainment services.
“Musician” means any artist, performer, band, DJ, entertainer, musician, or other service provider utilizing the Platform.
“Booking” means any request, inquiry, engagement, agreement, event opportunity, scheduled performance, recurring performance arrangement, or entertainment-related transaction facilitated through the Platform.
“Content” means all text, images, audio, video, recordings, graphics, logos, messages, event listings, comments, profile information, promotional materials, reviews, and other materials uploaded, submitted, displayed, distributed, or transmitted through the Platform.
“Third-Party Services” means services, software, integrations, payment processors, cloud providers, analytics providers, or external technologies operated by third parties.
“User” means any person or entity accessing or using the Platform.
2. Eligibility and Registration
The Platform is intended solely for users who are at least eighteen (18) years old and legally capable of entering into binding agreements under applicable law.
By accessing or using the Platform, you represent, warrant, and covenant that: • You are at least eighteen (18) years old;
• You possess the legal authority and capacity to enter into these Terms;
• All information submitted by you is accurate, truthful, complete, and current; • You will promptly update information as necessary;
• Your use of the Platform complies with all applicable laws and regulations.
Users are solely responsible for:
• Maintaining the confidentiality and security of account credentials; • Restricting unauthorized access to accounts;
• All activity conducted through their accounts.
Chrd reserves the unrestricted right to refuse registration, suspend accounts, restrict access, or terminate accounts at any time and for any reason.
3. Nature of the Platform
Chrd operates solely as a technology platform designed to facilitate communication, networking, event discovery, entertainment-related interactions, and optional payment facilitation between independent users. No employment, partnership, joint venture, agency, or contractor relationship is created between Chrd and any user by virtue of use of the Platform.
Chrd is not:
• A talent agency;
• A booking agency;
• An employer;
• A promoter;
• An event organizer;
• A venue operator;
• A financial institution;
• A payment processor;
• A fiduciary;
• An insurer;
• A guarantor of performances, payments, attendance, or outcomes.
Users acknowledge and agree that Chrd does not independently verify: • User identity;
• Criminal background history; • Professional qualifications;
• Licenses or permits;
• Insurance coverage;
• Venue legality or safety; • Event conditions;
• Payment ability;
• Performance quality.
Any agreement or relationship arising between users is solely between those users.
4. User Accounts
Users may create accounts including, without limitation: • Venue accounts;
• Musician accounts;
• Fan accounts;
• Organization accounts;
• Other approved account types.
Users agree not to:
• Impersonate another individual or entity;
• Misrepresent identity, affiliation, qualifications, or authority; • Create fraudulent accounts;
• Use another user’s account without authorization;
• Circumvent account restrictions or suspensions;
• Sell, transfer, or assign accounts without authorization.
Chrd reserves the right to investigate suspected misconduct and take any action deemed appropriate.
5. Platform Rules and User Conduct
Users agree to use the Platform lawfully, responsibly, and in accordance with these Terms.
Users shall not:
• Violate applicable law or regulation;
• Upload infringing or unlawful Content;
• Harass, threaten, intimidate, or abuse others; • Post misleading or fraudulent information;
• Circumvent payment systems dishonestly;
• Engage in spam or unauthorized advertising;
• Use bots, scrapers, automated systems, or unauthorized software; • Attempt unauthorized access to systems or accounts;
• Interfere with Platform operations or security.
Chrd is committed to maintaining a safe, respectful, professional, and lawful environment for all users of the Platform. By accessing or using the Platform, users agree to comply with these Community Standards and all applicable laws and regulations. Users who violate these standards may be subject to content removal, account suspension, account termination, reporting to law enforcement authorities, or other enforcement actions at Chrd’s sole discretion.
HARASSMENT, ABUSE, AND THREATS
Users may not engage in conduct that is abusive, threatening, harassing, intimidating, discriminatory, hateful, sexually explicit, exploitative, or otherwise harmful toward other users or third parties.
Prohibited conduct includes, without limitation: • Harassment or bullying;
• Hate speech or discriminatory conduct;
• Threats of violence or intimidation;
• Stalking or unwanted contact;
• Sexual harassment or exploitation;
• Posting or sharing private or confidential information without authorization; • Encouraging self-harm, violence, or illegal activity.
FRAUDULENT OR DECEPTIVE ACTIVITY
Users may not engage in fraudulent, deceptive, misleading, or dishonest conduct on or through the Platform.
Prohibited conduct includes, without limitation:
• Misrepresenting identity, qualifications, affiliations, or authority;
• Creating fake accounts or profiles;
• Fraudulent booking inquiries or payment activity;
• Chargeback abuse;
• False advertising or misleading event information;
• Manipulating reviews, engagement, or platform activity; • Attempting to circumvent payment systems dishonestly.
IMPERSONATION AND MISREPRESENTATION
Users may not impersonate or falsely represent another individual, business, organization, venue, artist, or entity.
Users may not:
• Use another person’s identity without authorization;
• Misrepresent ownership of a venue or business;
• Falsely claim affiliations, sponsorships, or endorsements; • Use misleading profile information, branding, or media.
COPYRIGHT, INTELLECTUAL PROPERTY, AND CONTENT RIGHTS
Users may only upload, publish, distribute, or transmit Content that they own or have legal authorization to use.
Prohibited Content includes, without limitation:
• Copyright-infringing music, videos, images, or recordings;
• Unauthorized use of logos, trademarks, or branding;
• Pirated or unlawfully distributed media;
• Content that violates publicity, privacy, or intellectual property rights.
Users are solely responsible for obtaining any licenses, permissions, royalties, or rights necessary for performances, recordings, broadcasts, or public music usage.
Chrd reserves the right to remove allegedly infringing Content and terminate repeat infringers in accordance with applicable law and the Digital Millennium Copyright Act (“DMCA”).
REPORTING FUNCTIONALITY
Users may report:
• Harassment or abusive behavior;
• Fraudulent activity;
• Impersonation;
• Copyright infringement;
• Unsafe conduct;
• Illegal activity;
• Violations of these Community Standards.

Users acknowledge that Chrd may investigate reports but is not obligated to resolve disputes between users.
ENFORCEMENT AND PLATFORM MODERATION
Chrd reserves the unrestricted right, but not the obligation, to monitor, review, investigate, moderate, remove, restrict, disable, or terminate Content, accounts, or access to the Platform at its sole discretion and without prior notice.
Enforcement actions may include: • Content removal;
• Warning notices;
• Temporary account suspension; • Permanent account termination;
• Restriction of Platform functionality;
• Referral to law enforcement authorities; • Legal action where appropriate.
Chrd may take enforcement action for conduct occurring both on and off the Platform where such conduct reasonably impacts user safety, Platform integrity, or compliance with applicable law. Chrd reserves the right to cooperate with law enforcement authorities and comply with legal obligations relating to user conduct, investigations, or public safety concerns. Chrd reserves the right, but not the obligation, to monitor, review, moderate, investigate, remove, or restrict Content or accounts at its sole discretion.
6. Bookings and Transactions
The Platform may facilitate inquiries, negotiations, communications, scheduling, and transactions relating to entertainment services and live events. Users are solely responsible for obtaining any licenses, permissions, royalties, or rights necessary for performances, recordings, broadcasts, or public music usage.
Chrd is not a party to agreements between users and expressly disclaims responsibility for: • Event cancellations;
• Payment disputes;
• Scheduling conflicts;
• Property damage;
• Personal injury;
• Licensing disputes;
• Contractual disputes; • Venue disputes;
• User misconduct;
• Financial losses.
Users are solely responsible for:
• Negotiating their own agreements;
• Determining compensation terms;
• Managing taxes and reporting obligations; • Obtaining permits and licenses;
• Maintaining insurance;
• Complying with applicable law.
7. Payments and Financial Services
Certain functionality of the Platform may permit payment facilitation through Third-Party Services including Stripe.
Users acknowledge and agree that:
• Chrd is not a bank, escrow provider, or payment processor;
• Third-party processor terms govern all transactions;
• Payment processing fees may apply;
• Payout timing may vary;
• Chrd does not guarantee payment collection, payment delivery, or chargeback outcomes.
Users remain solely responsible for all financial obligations arising from their activities on the Platform.
8. Content Ownership and License
Users retain ownership rights in their Content. However, by submitting Content to the Platform, users grant Chrd a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, display, distribute, market, promote, and otherwise exploit such Content in connection with operating, improving, and promoting the Platform.
Users represent and warrant that:
• They own or control all rights necessary to submit the Content;
• The Content does not violate intellectual property rights, privacy rights, publicity rights, or contractual obligations;
• The Content complies with applicable law.
Chrd reserves the right to remove or restrict Content at any time and for any reason.
9. Copyright and DMCA Compliance
Chrd respects the intellectual property rights of others and expects users to do the same.
If you believe Content available on the Platform infringes your copyright rights, you may submit a written notice containing sufficient information identifying the allegedly infringing material and your ownership claim.

Upon receipt of a valid notice, Chrd reserves the right to investigate and remove allegedly infringing
material and to terminate repeat infringers.
10. Privacy and Data Practices
Use of the Platform is also governed by the Chrd Privacy Policy, which is incorporated into these Terms by reference.
The Platform may collect, process, store, and transmit: • Registration information;
• Device and usage data;
• Communications and messages;
• Analytics and engagement metrics; • Payment-related information;
• Location information.
By using the Platform, users consent to the collection, processing, and storage of information in accordance with the Privacy Policy.
11. Third-Party Services
The Platform may contain integrations, software, services, advertisements, or links operated by third parties.
Chrd does not control and is not responsible for Third-Party Services, including their: • Availability;
• Security;
• Content;
• Privacy practices; • Terms;
• Business practices.
Use of Third-Party Services is solely at the user’s own risk.
12. Electronic Communications
By creating an account or otherwise using the Platform, users consent to receiving electronic communications from Chrd including notices, disclosures, transactional communications, account updates, security alerts, marketing communications, and other information related to the Platform. Users acknowledge that communications provided electronically satisfy any legal requirement that such communications be in writing.
13. Assumption of Risk
Users acknowledge that the Platform may facilitate interactions involving live events, crowds, travel, financial transactions, and in-person meetings.
Users voluntarily assume all risks arising from their use of the Platform and interactions with other users, including risks relating to:
• Personal injury;
• Property damage;
• Theft;
• Fraud;
• Unsafe venues;
• Event cancellations; • Financial losses.
Users are solely responsible for exercising appropriate judgment and caution.
14. Disclaimers
THE PLATFORM IS PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHRD DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, PLATFORM AVAILABILITY, SECURITY, ACCURACY, OR EVENT OUTCOMES.
CHRD DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR- FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHRD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, EVENT CANCELLATIONS, PAYMENT DISPUTES, PERSONAL INJURY, PROPERTY DAMAGE, REPUTATIONAL HARM, OR DATA LOSS ARISING OUT OF OR RELATED TO THE PLATFORM. IN NO EVENT SHALL CHRD’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM EXCEED ONE HUNDRED U.S. DOLLARS ($100).
16. Release
To the maximum extent permitted by law, users release Chrd and its officers, directors, employees, affiliates, contractors, licensors, successors, and assigns from claims, demands, liabilities, damages, and losses arising out of or related to:
• User interactions;
• Bookings;
• Events;
• Venue disputes;
• Payment disputes; • Personal injury;
• Property damage; • User misconduct.
17. Indemnification
You agree to defend, indemnify, and hold harmless Chrd and its officers, directors, employees, affiliates, contractors, licensors, successors, and assigns from and against all claims, liabilities, damages, judgments, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or related to:
• Your use of the Platform;
• Your Content;
• Your conduct;
• Your interactions with other users;
• Your violation of these Terms;
• Your violation of applicable law or third-party rights.
18. Arbitration and Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration in the Commonwealth of Massachusetts, except where prohibited by law.
Users knowingly waive any right to participate in class actions, representative proceedings, or jury trials to the maximum extent permitted by law.
19. Suspension and Termination
Chrd reserves the unrestricted right to suspend, disable, restrict, or terminate access to the Platform at any time and for any reason, with or without notice. Users may request deletion of their accounts and associated personal information through available in-app functionality or by contacting Chrd support,
subject to applicable legal retention obligations.
Termination shall not limit Chrd’s rights or remedies under applicable law.
20. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts without regard to conflict of law principles.
21. Force Majeure
Chrd shall not be liable for delays or failures resulting from causes beyond its reasonable control, including acts of God, natural disasters, governmental actions, internet failures, cyberattacks, labor disputes, pandemics, utility interruptions, or failures of third-party providers.
22. Entire Agreement
These Terms constitute the entire agreement between users and Chrd regarding the Platform and supersede all prior agreements, understandings, or representations.
23. Changes to Terms
Chrd reserves the right to modify, amend, or update these Terms at any time and for any reason. Updated Terms shall become effective immediately upon posting unless otherwise specified. Continued access to or use of the Platform following any modification constitutes acceptance of the revised Terms. If Chrd determines, in its sole discretion, that a revision materially affects users’ rights or obligations, Chrd may provide notice through the Platform, by email, or through other electronic communications.
24. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
25. Assignment
Chrd may assign or transfer its rights and obligations under these Terms without restriction. Users may not assign their rights or obligations without prior written consent.
26. App Marketplace Terms
If you access the Platform through the Apple App Store or Google Play Store, you acknowledge and agree that:
• Apple and Google are not parties to these Terms;
• Apple and Google are not responsible for the Platform or its content;
• Apple and Google have no obligation to provide maintenance or support services; • Users must comply with all applicable marketplace terms and conditions.
Apple and Google shall be third-party beneficiaries of these Terms where applicable.
